1. Introduction

Welcome to FlowLun. These Terms of Service ("Terms") govern your access to and use of the FlowLun platform, including any websites, mobile applications, and other services operated by FlowLun, Inc. ("FlowLun," "we," "us," or "our"). By accessing or using our service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our service.

2. Account Registration

To use certain features of our service, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Subscription and Payments

FlowLun offers various subscription plans for access to our service. By selecting a subscription plan, you agree to pay the subscription fees as described at the time of your purchase. Subscription fees are non-refundable except as required by law or as otherwise specified in these Terms.

Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew, and you authorize us to charge your payment method for the renewal term. You can cancel your subscription at any time through your account settings or by contacting our customer support.

4. User Content

Our service allows you to create, upload, store, share, and otherwise make available certain information, text, graphics, or other material ("User Content"). You retain all rights in, and are solely responsible for, the User Content you make available through our service.

By making any User Content available through our service, you grant to FlowLun a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing our service.

You represent and warrant that: (i) you own or control all rights in and to your User Content and have the right to grant the license granted above, and (ii) your User Content does not violate these Terms or any applicable law.

5. Acceptable Use

You agree not to use our service to:

  • Violate any applicable law, regulation, or third-party rights, including any laws regarding the export of data or software, patent, trademark, trade secret, copyright, or other intellectual property, legal rights of any person or entity
  • Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Upload, transmit, or distribute any content that contains viruses, malware, or other harmful code
  • Interfere with or disrupt the service or servers or networks connected to the service
  • Collect or harvest any personally identifiable information from the service

6. Intellectual Property Rights

FlowLun and its licensors exclusively own all right, title, and interest in and to the service, including all associated intellectual property rights. You may not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the service.

FlowLun claims no ownership interest in any User Content and expressly disclaims any liability that may arise from your use of your User Content.

7. Privacy

Our Privacy Policy describes how we handle the information you provide to us when you use our service. By using our service, you agree to our collection, use, and disclosure of information as described in our Privacy Policy.

8. Third-Party Services

Our service may contain links to third-party websites or services that are not owned or controlled by FlowLun. FlowLun has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that FlowLun shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms. Upon termination, your right to use the service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, FLOWLUN EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. FLOWLUN MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLOWLUN, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT FLOWLUN HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to defend, indemnify, and hold harmless FlowLun, its affiliates, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the service, including, but not limited to, your User Content, any use of the service's content, services, and products other than as expressly authorized in these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in San Francisco County, California.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the service.
